Terms of Service

These Terms of Service form the contract between [COMPANY NAME], registered at [STREET, POSTAL CODE, CITY, COUNTRY] ("we", "us", the "Provider"), and you ("Customer"). They apply to the exclusion of any of the Customer's own terms unless we agree otherwise in writing.

• “Products” means digital prompt files, prompt packs and bundles offered in the shop, delivered as text and/or JSON.
• “Consumer” means a natural person acting outside their trade, business, craft or profession.
• “Business customer” means anyone who is not a Consumer.
• “AI Model” means a third-party generative system (for example Midjourney, Flux, Sora, Suno, Claude) that a Product is tuned for.

Some purchases require an account. You must provide accurate details, keep your credentials confidential and notify us immediately of any unauthorised use. You are responsible for all activity under your account. We may suspend or close accounts used for fraud, licence abuse, redistribution of Products or breach of these terms.

Products are text-based instructions for AI Models, supplied with parameter guidance, negative blocks and variation notes as described on each product page. Products are supplied as data files only. They do not include access to any AI Model, credits, subscriptions or generated outputs, and they are not software.

Product pages describe the number of prompts, the target AI Model, the skill level and the licence type. Screenshots and preview artwork are illustrative.

Displaying Products is an invitation to treat. The contract is concluded when we confirm your order by email. Payment is handled by our payment provider using the methods offered at checkout. We deliver by making the files available for download and/or sending a download link immediately after successful payment, normally within a few minutes. An invoice is issued electronically. If delivery fails, contact info@helpful-prompts.com and we will re-issue access.

Consumers normally have 14 days to withdraw from a distance contract. For digital content not supplied on a tangible medium, that right is lost once performance has begun, provided the Consumer has given prior express consent and acknowledged the loss of the right.

At checkout you must actively tick a box requesting immediate delivery and confirming that you lose your right of withdrawal once the download begins. If you do not tick it, you cannot complete the purchase. If delivery has not yet started, you may withdraw within 14 days by an unambiguous statement to info@helpful-prompts.com and we will refund all payments received within 14 days using the same payment method.

On full payment we grant you a non-exclusive, non-transferable, worldwide, perpetual licence to use the purchased Product, limited by the licence type shown on the product page.

You may:

• Use the prompts with any AI Model to generate outputs for yourself (Personal licence) or for yourself, your employer and your clients (Commercial licence).
• Modify, adapt and combine prompts for your own projects.
• Use and commercialise the outputs you generate, subject to the terms of the AI Model you used.

You may not:

• Resell, sublicense, publish, share, give away or redistribute the prompt files or their substantial text, in whole or in part, whether modified or not.
• Include the prompts in another prompt marketplace, prompt pack, template library, course material or dataset offered to third parties.
• Use the prompts to train, fine-tune or benchmark a competing prompt-generation product.
• Remove licence notices or share your account credentials or download links.
• Use the Products to create unlawful, defamatory, infringing, harassing or sexually exploitative material, or content that impersonates a real person without their consent.

A Personal licence can be upgraded to Commercial by contacting support and paying the price difference. Serious or repeated breach terminates the licence without refund.

All rights in the Products, the shop, its artwork, code and trade marks remain with us or our licensors. Nothing in these terms transfers ownership. Rights in the outputs you generate are governed by the terms of the AI Model you use; we make no claim to them.

Generative AI is non-deterministic. Results depend on the AI Model, its version, your settings, your input assets and factors outside our control. We do not warrant that any Product will produce a specific result, a consistent result over time, or a result that is free of third-party rights. AI Models change without notice and a provider may alter or discontinue a model, which can affect a Product's behaviour. We publish updates where reasonably possible but do not guarantee continued compatibility. You are responsible for reviewing generated content before using it, including for legal, factual and rights clearance purposes.

Consumers benefit from the statutory guarantee rules for digital content; nothing in these terms limits those rights or our liability for death, personal injury, fraud, or any liability that cannot be excluded by law.

Subject to that, we are liable without limitation for intent and gross negligence. For slight negligence we are liable only for breach of an essential contractual obligation and then only for foreseeable damage typical of this type of contract, capped at the amount you paid for the Product concerned in the twelve months before the event. We are not liable for lost profits, lost data, loss of goodwill, or costs of substitute services incurred by business customers.

Because Products are delivered instantly and cannot be returned, purchases are generally final once download has begun. We will nevertheless refund or replace a Product where:

• the files are corrupted, incomplete or cannot be downloaded and we cannot fix this within a reasonable time;
• the Product materially differs from its description on the product page;
• you were charged more than once for the same order.

Requests should be sent to info@helpful-prompts.com within 30 days of purchase with your order number. Dissatisfaction with AI-generated results alone is not a defect, given section 8. Approved refunds are made to the original payment method within 14 days.

We may amend these terms for valid reasons such as changes in law, payment processes or the services offered. The version in force at the time of your order governs that order. Registered customers will be notified of material changes at least 30 days before they take effect and may close their account if they do not accept them.

If any provision of these terms is or becomes invalid, the validity of the remaining provisions is unaffected, and the invalid provision is replaced by the statutory rule that most closely reflects its commercial purpose.
